Esprit Stones Limited ('the Company') is a public limited company domiciled and incorporated in India under theCompanies Act 2013 on 19th October, 2016. The Company is public limited company with effect from 05th February,2024 and listed on SME Platform of NSE Exchange on 02nd August, 2024.

During the FY 2024-25, on standalone basis, the total Income from the operation increased by 20.51%. The samewas Rs. 19,283.24 Lakhs for the current FY 2024-25 as compared to Rs. 16,000.82 Lakhs for the previous FY 2023¬24. Total Net Profit decreased by 18.72%, the same was Rs. 836.19 Lakhs for the current FY 2024-25 as comparedto Rs. 1,028.74 Lakhs for the previous FY 2023-24.
During the year under review, on consolidated basis, the total Income from the operation increased by 17.81%.The same was Rs. 32,148.08 Lakhs for the current FY 2024-25 as compared to Rs. 27,289.02 Lakhs for the previousFY 2023-24. Total Net Profit increased by 66.72%, the same was Rs. 1,031.73 Lakhs for the current FY 2024-25 ascompared to Rs. 1,720.07 Lakhs for the previous FY 2023-24.
2. OPERATIONS AND STATE OF COMPANY'S AFFAIRS:
The Company along with its subsidiaries is engaged in the business of engineered stones such as engineered quartzsurfaces and engineered marble surfaces which is a luxurious substitute of natural marble and granite. It is alsoinvolved in manufacturing of raw materials such as quartz grit and unsaturated polyester resin for engineeredstones. It also sales Unsaturated Polyester Resin in the open market through its subsidiary. Its export customersare in the USA, Canada and other countries. The Company market its engineered stones product in India under itsbrand "Haique".
There was no change in the nature of the business of the Company during the year under review.
3. DIVIDEND AND RESERVES:
After considering the financial results for the financial year 2024-25, your directors are of the opinion that it isprudent that no dividend be declared for the year under review.
The Company does not propose to transfer any amount to reserves.
4. MANAGEMENT'S DISCUSSION AND ANALYSIS REPORT:
Management's Discussion and Analysis Report for the year under review, in terms of the Securities and ExchangeBoard of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "Listing Regulations"), ispresented in a separate section forming part of the Annual Report.
5. MATERIAL CHANGES AFFECTING THE COMPANY AND COMMITMENT:
During the period under review, there have been no material changes and commitments, affecting the financialposition of the Company which have occurred between the end of the financial year of the Company to which thefinancial statements relate and till the date of this report.
6. SIGNIFICANT OR MATERIAL ORDERS PASSED BY THE REGULATORS OR COURTS OR TRIBUNALS IMPACTING THEGOING CONCERN STATUS AND COMPANY'S OPERATIONS IN FUTURE:
No significant or material orders were passed by the regulators or courts or tribunals which impact the goingconcern status and company's Operations in future.
7. CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO:
The information pertaining to conservation of energy, technology absorption, foreign exchange earnings and outgoas required under Section 134 (3)(m) of the Companies Act, 2013 read with Rule 8(3) of the Companies (Accounts)Rules, 2014 is provided in "Annexure 1" and is attached to this report.
8. STATEMENT CONCERNING DEVELOPMENT AND IMPLEMENTATION OF RISK MANAGEMENT POLICY:
The Company has in place a Risk Management Policy, pursuant to Section 134 of the Companies Act, 2013. Thisrobust Risk Management framework enables identification and evaluation of business risks and opportunities,seeks to create transparency, minimize adverse impact on business objectives and enhance the Company'scompetitive advantage.
The Company has laid down a well-defined risk management mechanism commensurate with its size and the natureof business covering risk mapping, risk exposure and risk mitigation process. The Company's Risk ManagementPolicy has been developed to include various categories such as Human Resources, Financial, Business Processesand Systems, Strategy, Corporate Governance and Compliance and Information Security.
Further, the Board ensures risk reporting and updates, risk policy compliances and provide overall guidance andsupport to business risk owners.
9. CORPORATE SOCIAL RESPONSIBILITY (CSR):
The Company has a Policy on Corporate Social Responsibility and the same has been posted on the website of theCompany i.e. https://espritstones.com. The composition of the Committee, contents of CSR Policy and report onCSR activities carried out during the financial year ended March 31, 2025 in the format prescribed under theCompanies (Corporate Social Responsibility Policy) Rules, 2014 is annexed herewith as "Annexure 2".
10. ANNUAL RETURN:
As required under the provisions of Section 134(3)(a) and Section 92(3) of the Companies Act, 2013 read with theCompanies (Management and Administration) Rules, 2014, the Annual Return of the Company shall be placed onthe website of the Company. It can be accessed at https://espritstones.com.
11. SHARE CAPITAL:
Authorized Share Capital
During the year, the company has not alterted the Authorized share capital. Hence, the authorized share capital ofthe Company as at March 31, 2025 was Rs. 25,00,00,000 (Rupees Twenty-Five Crore only) consisting of 2,50,00,000(Two Crore and Fifty Lacs) equity shares of Rs. 10 (Rupees Ten) each.
Issued and Paid-Up Capital
During the year, the paid-up share capital of the Company increased from Rs. 57,95,200 (Fifty-Seven Lakh Ninety-Five Thousand and Two Hundred) equity shares having face value of Rs. 10 (Rupees Ten) each. Now currently, thepaid-up share capital of the Company is Rs. 21,94,52,000 (Rupees Twenty-One Crores Ninety-Four Lakhs and Fifty-Two Thousand) comprising of 2,19,45,200 (Two Crores Nineteen Lakhs Forty-Five Thousand and Two Hundred)equity shares of face value of Rs. 10 (Rupees Ten) each.
The Company has not issued any sweat equity shares during the year under review and hence no information asper provisions of Rule 8(13) of the Companies (Share Capital and Debenture) Rules, 2014 is furnished.
There are no shares held by trustees for the benefit of employees and hence no disclosure under Rule 16(4) of theCompanies (Share Capital and Debentures) Rules, 2014 has been furnished.

13. PARTICULARS OF CONTRACTS AND ARRANGEMENTS WITH RELATED PARTIES:
All Related Party Transactions are entered during the Financial Year are in compliance to the provisions of law, thePolicy on Materiality of and dealing with Related Party Transactions ("Related Party Policy") and were entered withthe approval of Audit Committee, Board and Shareholders if and as applicable. All related party transactions wereentered into were on arm's length basis and in ordinary course of business forms parts to notes to the FinancialStatements.
14. COMPLIANCE WITH THE SECRETARIAL STANDARDS:
The Company has complied with the applicable SS-1 (Secretarial Standard on Meetings of the Board of Directors)and SS-2 (Secretarial Standard on General Meetings) issued by the Institute of Company Secretaries of India andapproved by the Central Government under Section 118(10) of the Companies Act, 2013.
15. DETAILS OF EMPLOYEE STOCK OPTIONS:
The Company does not have any Employee Stock Option Scheme / Plan.
16. AUDITORS AND AUDITORS' REPORT:
16.1 STATUTORY AUDITORS & THEIR REPORT:
Pursuant to the provisions of Section 139 of the Companies Act, 2013 and rules made thereunder, M/s. A Bafna& Company (FRN No. 003660C), Chartered Accountants have been appointed as statutory auditors of thecompany at Fifth Annual General Meeting held on November 30, 2021 for a term of five consecutive years fromthe conclusion of Fifth Annual General Meeting till the conclusion of the 10th (Tenth) Annual General Meetingof the Company.
Pursuant to Section 139 and 141 of the Companies Act, 2013 and relevant Rules prescribed there under, theCompany has received certificate from the Auditors to the effect, inter-alia, confirming that their appointmentcontinues to be within the limits laid down by the Act, is as per the term provided under the Act, that they arenot disqualified for continuing such appointment under the provisions of applicable laws and also that thereare no pending proceedings against them or any of their partners with respect to professional matters ofconduct.
The Audit Report for the financial year 2024-25 is attached herewith. The report does not contain anyreservation, qualification or adverse remark. Information referred in the Auditor Report are self-explanatoryand do not call for any further comments.
16.2 COST AUDIT AND COST RECORDS:
Provision of Section 148 of the Companies Act, 2013 read with the Companies (Cost Records and Audit) Rules,2014 are not applicable to the Company during the financial year under review.
16.3 SECRETARIAL AUDIT:
During the financial year 2024-25, M/s. Abhik Jain & Associates, Practicing Company Secretary, who wasappointed as the Secretarial Auditor of the Company for the financial year 2024-25, tendered their resignationwith effect from 15th February, 2025, due to in process to surrender the certificate of practice and hence cannotcontinue as Secretarial Auditor of the Company and consequently ceased to be the Secretarial Auditor of theCompany.
In view of the above, the Board of Directors, at its meeting held on 11th March, 2025, appointed M/s. RonakJhuthawat & Co., Practicing Company Secretary, having Membership No. 9738 and Certificate of Practice No.12094, to conduct the Secretarial Audit of the Company for the financial year 2024-25, in accordance with theprovisions of Section 204 of the Companies Act, 2013 and rules made thereunder. The Secretarial Audit Reportfor the financial year 2024-25 as issued by M/s. Ronak Jhuthawat & Co. is annexed as "Annexure-8" to thisReport and forms part of the Annual Report.
Pursuant to Listing Regulations, the Board of Directors has proposed the appointment of M/s Ronak Jhuthawat& Co., Company Secretaries, Secretarial Auditors (Unique Identification No.: P2025RJ104300), to hold officefor a period of five consecutive years commencing from F.Y. 2025-26 to F.Y. 2029-30, for the approval of themembers in the ensuing Annual General Meeting of the Company.
16.4 INTERNAL AUDITOR & THEIR REPORT:
Pursuant to the provisions of Section 138 of the Companies Act, 2013 read with Rule 13 of the Companies(Accounts) Rules, 2014, the Company has appointed M/s. Pallavi Mehta & Associates, Chartered Accountants(Firm Registration No. 016194C), as the Internal Auditor of the Company for the financial year 2024-25.
The Internal Auditor functions independently and reports directly to the Audit Committee. The scope,methodology, and functioning of the internal audit are periodically reviewed and approved by the AuditCommittee to ensure adequacy of internal financial controls, operational systems, risk management andcompliance framework across various functions of the Company.
The Internal Auditor has carried out audits at periodic intervals and submitted their reports to the AuditCommittee. Their observations and recommendations were duly reviewed and taken into consideration forstrengthening the internal control systems. Based on the reports of the Internal Auditor, management hastaken necessary corrective actions where required, to further improve the internal processes and controlenvironment.
The Audit Committee, while reviewing the internal audit findings, did not note any material observationshaving significant impact on the financial position or operations of the Company.
17. REMUNERATION OF DIRECTORS AND KEY MANAGERIAL PERSONNEL:
The information required under Section 197(12) of the Act read with Rule 5(1) of the Companies (Appointment andRemuneration of Managerial Personnel) Rules, 2014 is annexed to this Report as "Annexure 3".
18. POLICY RELATING TO DIRECTORS' APPOINTMENT AND REMUNERATION ETC:
In compliance with the requirements of Section 178 of the Companies Act, 2013 the Company has laid down aNomination and Remuneration Policy.

19. ANNUAL EVALUATION OF BOARD'S PERFORMANCE, ITS COMMITTEES AND INDIVIDUAL DIRECTORS:
In compliance with the provisions of the Companies Act, 2013 and the Securities and Exchange Board of India(Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has carried out an annualevaluation of the performance of the Board as a whole, the Committees of the Board, and individual Directorsincluding Independent Directors.
The performance of the Board, its committees, and individual Directors was evaluated through a structuredquestionnaire covering various aspects such as composition, effectiveness of the Board processes, informationflow, decision-making, performance of specific duties and obligations, attendance and contributions at meetings,and guidance/support provided to management.
The performance evaluation of the Independent Directors was carried out by the entire Board, excluding thedirector being evaluated. The Independent Directors, in a separate meeting held in accordance with the provisionsof the Act and Securities and Exchange Board of India Listing Regulations, reviewed the performance of theChairperson, the Non-Independent Directors, and the Board as a whole.
The outcome of the evaluation reflected high levels of engagement and effective functioning of the Board and itsCommittees. The Board expressed satisfaction over the overall functioning, governance framework, and thecontributions made by each Director towards the growth and performance of the Company.
20. BOARD MEETINGS HELD DURING THE FINANCIALYEAR 2024-25:
The Board/Committee meetings are pre-scheduled and proper notices of Board and Committee meetings iscirculated to the Directors well in advance to enable them to plan their schedules and to ensure their meaningfulparticipation in the meetings.
During the financial year under review, 11 (Eleven) Board Meetings were held as per Section 173 of the CompaniesAct, 2013. The gap between two Board meetings was in compliance with the provisions contained in the Act, MCAGeneral Circular no. 11/2020 and the Securities and Exchange Board of India (Listing Obligations and DisclosureRequirements), Regulations, 2015. 21. DIRECTORS RESPONSIBILITY STATEMENT:
In terms of the provisions of Section 134(3)(c) read with Section 134(5) of the Companies Act, 2013, the Board ofDirectors, in respect of the year ended 31st March, 2025, hereby confirm that:

h) The Directors had devised proper systems to ensure compliance with the provisions of all applicable laws andthat such systems were adequate and were operating effectively.

During the year, no company has become or ceased to be a subsidiary, joint venture or associate of the Company.

The manufacturing operations for the Subsidiary Company M/s Addwaya Chemicals Private Limited were closeddue to directions received from the Rajasthan State Pollution Control Board, ('RSPCB'), District-Rajsamand, State-Rajasthan under Section 33(A) of the Water (Prevention and Control of Pollution) Act, 1974 and Section 31(A) ofthe Air (Prevention and Control of Pollution) Act, 1981, situated at Araji No. 1953/11, 2080/10 & 2082/11, Village-Rathujana Negdiya, Tehsil-Nathdwara, District- Rajsamand, State-Rajasthan under Section 33-A of the Water(Prevention and Control) since March 10, 2025. Currently, the operations are on hold in the subsidiary and it maytake some more time to resume operations after taking necessary approvals.
23. DECLARATION BY INDEPENDENT DIRECTORS:
The Company has received declarations from all Independent Directors of the Company, confirming that they meetthe criteria of independence as laid down under Section 149(6) of the Companies Act, 2013.
The Independent directors of the Company have undertaken requisite steps towards the inclusion of their namesin the data bank of independent directors maintained with the Indian Institute of Corporate affairs in terms ofSection 150 of the act read with rule 6 of the Companies (appointment & Qualification of directors) rules, 2014.The Board is of the opinion that all the Independent Directors of the Company possess requisite qualifications,experience and expertise in their domain areas and that they hold highest standards of integrity.
24. CHANGE IN THE NATURE OF BUSINESS:
During the year under review, there has been no change in the nature of business of the Company.
25. INSURANCE:
The Company has taken adequate insurance to cover the risks to its employees, property (land and buildings), plant,equipment, other assets and third parties as may be applicable.
26. DETAILS OF THE DIRECTORS AND KEY MANAGERIAL PERSONNEL:
The Board of Directors of the Company comprises of 6 [Six] directors as on March 31, 2025 who brings in a widerange of skills and experience to the Board. During the year under review and till the date of this report, there is no
change in composition of Board of Directors and Key Managerial Personnel of the Company. In view of theapplicable provisions of the Companies Act, 2013.
Retirement of Director by rotation
In accordance with the provisions of Section 152(6) of the Companies Act, 2013 and Articles of Association of thecompany, Mr. Pradeep Lunawath, Director of the Company liable to retire by rotation, has offered himself for re¬appointment at the ensuing Annual General Meeting of the company. A resolution for her reappointment is beingproposed at the Annual General Meeting and his Profile is included in the Notice.

27. COMMITTEES OF THE BOARD:
The Board of Directors of your Company have formed various Committees, as per the provisions of the CompaniesAct, 2013 and as per SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and as a part of thebest corporate governance practices, the terms of reference and the constitution of those Committees is incompliance with the applicable laws.
In order to ensure focused attention on business and for better governance and accountability, the Board hasconstituted the following committees:

A. AUDIT COMMITTEE:
The Audit Committee was constituted in the board meeting dated 06.02.2024 with following roles andresponsibilities:
(1) oversight of the listed entity's financial reporting process and the disclosure of its financial information toensure that the financial statement is correct, sufficient and credible;
(2) recommendation for appointment, remuneration and terms of appointment of auditors of the listed entity;
(3) approval of payment to statutory auditors for any other services rendered by the statutory auditors;
(4) reviewing, with the management, the annual financial statements and auditor's report thereon beforesubmission to the board for approval, with particular reference to:
a) matters required to be included in the director's responsibility statement to be included in the Board'sReport in terms of clause (c) of sub-section (3) of Section 134 of the Companies Act, 2013;
b) changes, if any, in accounting policies and practices and reasons for the same;
c) major accounting entries involving estimates based on the exercise of judgment by management;
d) significant adjustments made in the financial statements arising out of audit findings;
e) compliance with listing and other legal requirements relating to financial statements;
f) disclosure of any related party transactions;
g) modified opinion(s) in the draft audit report;
(5) reviewing, with the management, the quarterly financial statements before submission to the board forapproval;
(6) reviewing, with the management, the statement of uses / application of funds raised through an issue (publicissue, rights issue, preferential issue, etc.), the statement of funds utilized for purposes other than those statedin the offer document / prospectus / notice and the report submitted by the monitoring agency, monitoringthe utilization of proceeds of a public or rights issue, and making appropriate recommendations to the boardto take up steps in this matter;

(8) approval or any subsequent modification of transactions of the listed entity with related parties;

(10) valuation of undertakings or assets of the listed entity, wherever it is necessary;
(11) evaluation of internal financial controls and risk management systems;
(12) reviewing, with the management, performance of statutory and internal auditors, adequacy of the internalcontrol systems;
(13) reviewing the adequacy of internal audit function, if any, including the structure of the internal auditdepartment, staffing and seniority of the official heading the department, reporting structure coverage andfrequency of internal audit;

29. DEPOSITORY SYSTEM:
The Company has entered into agreement with the National Securities Depository Limited (NSDL) and CentralDepository Services (India) Limited (CDSL) to enable shareholders to hold shares in a dematerialized form. TheCompany also offers simultaneous dematerialization of the physical shares lodgedfor transfer.

During the year under review, the Company has not borrowed an unsecured loan from any of the Directors of theCompany.

33. DISCLOSURE UNDER SEXUAL HARASSMENT OF WOMEN AT WORKPLACE (PREVENTION, PROHIBITION ANDREDRESSAL) ACT, 2013:
The Company has zero tolerance on sexual harassment at workplace and committed to provide a safe andconducive work environment to its employees. In line to make the workplace (Prevention, Prohibition andRedressal) Act, 2013 ("POSH Act"), the Company has constituted the Internal Complaints Committee ("ICC") toredress complaints received regarding sexual harassment. During the year under review, there were no cases filedpursuant to the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013.

34. MATERNITY BENEFIT PROVIDED BY THE COMPANY UNDER MATERNITY BENEFIT ACT, 1961:
The Company declares that it has duly complied with the provisions of the Maternity Benefit Act, 1961. All eligiblewomen employees have been extended the statutory benefits prescribed under the Act, including paid maternityleave, continuity of salary and service during the leave period, and post-maternity support such as nursing breaksand flexible return-to-work options, as applicable.
The Company also ensures that no discrimination is made in recruitment or service conditions on the grounds ofmaternity. Necessary internal systems and HR Policies are in place to uphold the spirit and letter of legislation.

35. NSE COMPLIANCES AND LISTING FEES:
The Company was listed on SME Platform of NSE Exchange as on 02nd August, 2024. Further, the Company hascomplied with all the applicable compliances with respect to the quarterly, half-yearly and yearly compliances tobe done during the year. Further, the annual listing fees for the FY 2025-26 has been paid.
36. DOWNSTREAM INVESTMENTS:
The Company neither have any Foreign Direct Investment (FDI) nor invested as any Downstream Investment in anyother Company in India.
37. AUDIT TRAIL APPLICABILITY (AUDIT AND AUDITORS) RULES, 2014 - RULE 11 OF THE COMPANIES ACT, 2013:
The Company has used accounting software for maintaining its books of account for the financial year ended March31, 2025 which has a feature of recording audit trail (edit log) facility and the same has operated throughout theyear for all relevant transactions recorded in the softwares.
As proviso to Rule 3(1) of the Companies (Accounts) Rules, 2014 is applicable from April 1, 2023, reporting underRule 11(g) of the Companies (Audit and Auditors) Rules, 2014 on preservation of audit trail as per the statutoryrequirements for record retention is not applicable for the financial year ended March 31, 2024.
38. APPOINTMENT OF DESIGNATED PERSON (MANAGEMENT AND ADMINISTRATION) RULES, 2014 - RULE 9 OF THECOMPANIES ACT, 2013:
In accordance with Rule 9 of the Appointment of Designated Person (Management and Administration) Rules 2014,it is essential for the company to designate a responsible individual for ensuring compliance with statutoryobligations.
The company has proposed and appointed Mrs. Anjali Pandey, Company Secretary and Compliance Officer asDesignated person in a Board meeting and the same has been reported in Annual Return of the company.
39. VIGIL MECHANISM / WHISTLE BLOWER POLICY:
Pursuant to section 177(9) & (10) of the Companies Act, 2013 and Rule 7 of Companies (Meetings of Board and itsPowers) Rules,2014, the Board had approved a vigil mechanism (Whistle Blowing Policy). The Policy provides anindependent mechanism for reporting and resolving complaints pertaining to unethical behavior, actual orsuspected fraud and violation of the code of conduct of the Company. 40. CONSOLIDATED FINANCIAL STATEMENTS:
The Consolidated Financial Statements required pursuant to section 129(3) of the Companies Act, 2013 (read withrule 6 of the Companies (Accounts) Rule, 2014 as amended from time to time) have been prepared in accordancewith the relevant accounting standards as per the Companies (Accounting Standard) Rules, 2006.
