Total operating revenue was Rs. 10,247.96 Mn for the financialyear 2024-25, which increased by 6.21% over the previousyear’s Rs. 9,648.70 Mn. Total comprehensive income stoodat Rs. 947.47 Mn (9% of total income) against the previousyear’s Rs. 795.68 Mn (8% of total income). This signifies animprovement in absolute and percentage terms.
The Company’s revenue from operations was moregeographically diversified this year, with the share fromIndia, the Middle East and Asia increasing to 36% from 34%in the previous year. The Europe business contributed to
51% of the Company’s revenue from operations (vs. 54% inthe previous year), while the US contributes to 13% (vs. 12%in the previous year). The proportion of on-site to offshorerevenue from operations stood at 65% to 35% comparedwith 77% to 23% in the previous year.
During the year under review, new client acquisitioncontributed 0.83% to the revenue from operations. Therepeat business from existing clients is 99.17% of the revenuefrom operations compared to 94% in the previous year.
For the financial year 2024-25, the revenue from Groupclients was 34%, as compared to 34% in the previous
financial year. On the practice front, the Company saw25% growth in Banking, followed by Insurance that grew by27%, Retail & Consumer Goods by 51% and Card & Paymentby (1.64%).
As of March 31, 2025, the standalone entity's employeestrength was 3,817 (consolidated entity 3,948) comparedto 4,208 (consolidated entity 4,291) in the previous year.Women employee strength reduced to 1,263 (31.99%) for theconsolidated entity from 1,381 (32.18%) in the previous yearand attrition stands at 24% from the previous year's 21.85%.
During the financial year 2024-25, the Company addedRs.226.18 Mn to its gross block with capital expenditure,which comprises Rs. 180.65 Mn on building and lease,Rs. 16.52 Mn on technology infrastructure, Rs. 19.48 Mnon physical infrastructure and the balance Rs. 9.53 Mn onintangible asset addition.
The Company continues to maintain comfortable cashbalances to meet its strategic objectives. The liquid assetsstood at Rs. 1,935.04 Mn at the end of the year againstRs. 1,295.84 Mn in the previous year. The Company's cashbalance increased to Rs. 2053.29 Mn from previous year'sRs. 1,325.30 Mn.
At the end of the current financial year, the Company'sPaid-up Equity Share Capital stood at Rs. 155.20 Mn,consisting of 1,55,19,739 fully paid-up equity shares ofRs. 10/- each.
As of March 31, 2025, the Company's net worth stood atRs. 5,621.39 Mn against Rs. 5,449.91 Mn at the end of theprevious financial year.
During the financial year 2024-25, the Company hasdeclared Interim Dividend of Rs. 50/- per equity share(500% on face value of Rs. 10/- each) on February 06, 2025,which was paid on February 27, 2025.

During the period under review, your Company hasregistered a Wholly Owned Subsidiary (“WOS") in thename of Expleo Solutions Arabia Limited with Ministryof Investment and Ministry of Commerce in Kingdom ofSaudi Arabia (KSA) on January 23, 2025 and March 12, 2025respectively , to provide Information Technology EnabledServices with the objective to address the requirementsof clients.
During the period under review, your Company closed itsexisting subsidiary Company, Expleo Solutions FZE, UAE,on March 24, 2025, due to its non-operation. All servicesto the existing clients in the region will be provided byExpleo Solutions LLC, Dubai, a wholly-owned subsidiaryof the Company.
The Company's Board of Directors reviewed the affairsof the wholly owned subsidiaries for the financial year2024-25. In accordance with Section 129(3) of theCompanies Act, 2013, the Company has prepared itsconsolidated financial statements, which form a partof this Annual Report. A separate section on the salientfeatures, performance and financial position of each ofthe Subsidiaries can be found in Annexure-I. It includestheir contribution to the overall performance of theCompany.
During the period under report, as per Section 129(3) of theCompanies Act, 2013, read with Rule 5 and Rule 8(1) of theCompanies (Accounts) Rules, 2014, the Subsidiaries auditedannual financial statements and related information,wherever applicable, will be made available to shareholdersupon request and will also be available for inspectionduring regular business hours at the registered office ofthe Company. The audited annual financial statementsshall also be available on the website of the Company. TheCompany has branch offices in the Philippines, Belgium,Israel and Malaysia globally and Pune, Bengaluru and aSales Office cum Delivery Centre in Mumbai and a TrainingCentre in Coimbatore.

The Board met six times during the financial year endedMarch 31, 2025. The said meetings were held on May 23,2024, June 14, 2024, August 1, 2024, November 14, 2024,February 6, 2025, and February 24, 2025.
The Corporate Governance Report has details of thesemeetings. The intervening gap between the meetingswas within the period prescribed under the CompaniesAct, 2013, and the SEBI (Listing Obligations and DisclosureRequirements) Regulations, 2015, as amended.
A separate section on Corporate Governance, which ispart of the Board’s Report, and the certificate from theCompany’s Auditors confirming compliance with CorporateGovernance norms as stipulated in the SEBI (ListingObligations and Disclosure Requirements) Regulations,2015, as amended, are included in the Annual Report.The Company has taken adequate steps for strictcompliance with Corporate Governance guidelines asamended from time to time. A separate ManagementDiscussion and Analysis Report is also attached and formspart of this report.

All the Independent Directors of the Company have giventheir declaration under Section 149(7) of the CompaniesAct, 2013, confirming that they comply with the criteriaof independence as laid down in Section 149(6) of theCompanies Act, 2013, and Regulation 25 of SEBI (ListingObligations and Disclosure Requirements) Regulations,2015, as amended, for being an Independent Director ofthe Company.

**Expleo Solutions Arabia Limited with Ministryof Investment and Ministry of Commerce onJanuary 23, 2025, and March 12, 2025, respectively.The Company is in the process of completing theregulatory formalities to transfer the initial capital andcommence the operations.
During 2024-25, all the contracts and arrangementsentered by the Company with related parties wereon arm’s - length basis and in the ordinary course ofbusiness. The total value of all the transactions withM/s. Expleo Group and its subsidiaries are above thethreshold limit of 10% of the last audited consolidatedturnover of the Company. These transactions have beenclassified as “Material Related Party Transactions” as perSEBI (Listing Obligations and Disclosure Requirements)Regulations, 2015, as amended. However, the aforesaidtransactions fall within limits approved by theshareholders in the Annual General Meeting held onAugust 29, 2024. There are no materially-significantRelated Party Transactions made by the Companywith Directors, Key Management Personnel, SeniorManagement personnel, or other designated persons,which may have a potential conflict with the Company’sinterests at large. All Related Party Transactions areplaced before the Audit Committee and the Board ofDirectors for their prior approval.
For foreseen and repetitive transactions with the whollyowned subsidiaries, a prior omnibus approval of theAudit Committee is obtained annually. The transactionsentered pursuant to the omnibus approval so grantedare tracked and verified. A statement giving detailsof all related party transactions is placed before theAudit Committee and the Board of Directors for theirapproval every quarter. None of the Directors have any pecuniary relationship(s)or transaction(s) vis-a-vis the Company. The details ofcontracts or arrangements with related parties enteredduring the year are given in Annexure-II of the report.
No material changes or commitments affecting thefinancial position of the Company have occurred betweenthe end of the financial year to which the Company’sfinancial statements relate and the date of the report.
In accordance with the applicable provisions of theCompanies Act, 2013, read with the IEPF Authority(Accounting, Audit, Transfer and Refund) Rules, 2016,(the Rules), all unpaid or unclaimed dividends arerequired to be transferred by the Company to theIEPF established by the Government of India after thecompletion of seven years. Further, according to theRules, the shares on which a dividend has not been paidor claimed by the shareholders for seven consecutiveyears or more shall also be transferred to the Demataccount of the IEPF Authority. During the financial year2024-25, an amount of Rs. 3,88,240/-, which was lyingin the Final Dividend account pertaining to the year
2016- 17, and an amount of Rs. 1,23,3632/- lying in theInterim Dividend account pertaining to the year
2017- 18 of the Company was transferred to the IEPF oncompletion of seven years. Pursuant to provisions ofRule (6) of the Investor Education and Protection FundAuthority (Accounting, Audit, Transfer and Refund)Rules, 2016, as amended from time to time, whereinthe seven-year period provided under subsection (5)of Section 124 is completed for unpaid/unclaimeddividends during 2024-25, the Company had transferred405 shares pertaining to Unpaid Final Dividend -2016-17 and 979 shares pertaining to Unpaid InterimDividend - 2017-18 to the credit of IEPF Authority, inrespect of shareholders who have not claimed theirdividend for a consecutive period of seven years.Members who have so far not encashed their dividendwarrant(s) or those yet to claim their dividend amountsmay write to the Company Secretary & ComplianceOfficer / Company’s Registrar and Share Transfer Agent(Cameo Corporate Services Limited). 20. Conservation of Energy, Research, andDevelopment, Technology Absorption, ForeignExchange Earnings, and Outgo:
(A) Conservation of Energy:
(i) The Company has always supported and implementedenvironment friendly and sustainable green solutionsin our daily operations at pan India locations. Wehave taken steps to save energy by using energygenerated from alternative sources such as gridpowered wind turbines, USFF based computers,installing motion sensor LED lighting, VRF basedair-conditioning, retrofit VFD panels for chillers, AMC,preventive maintenance, monitoring operations of
ACs, lights, appliances during peak / non peak hours,installation of latest equipment, AC chiller units andoptimisation of space to increase efficiency andreduce running costs etc. We have also taken stepsto save water by use of treated water for washrooms,landscaping, motion sensor taps, waterless urinals etc.We create awareness and educate employees aboutenergy conservation practices and encourage them toparticipate actively in energy saving initiatives. We docelebrate World Environment Day, Safety Week andEarth Hour. This has significantly helped us reduceour energy and water consumption.
(ii) We continue to work on measuring, monitoring andreducing the carbon footprint generated by ourequipment and vehicles. We plan to shift / convertto electric vehicles once proper infrastructure /ecosystem is in place. The focus would be to reducecarbon footprint to achieve net zero.
(iii) Capital investment on Energy ConservationEquipment: 5.75% of total asset addition during theyear 2024-25.
(i) Easy Connections: Easy Connections is a connectorplatform to pull the metadata about data andanalytics assets from an organisation’s data estateand bring to data governance platforms like Collibra.Our connectors offer more extensive metadata anddetails to copy which enhances the value of the datagovernance platforms. These connectors are offeredas service along with implementation for datagovernance platform Collibra. We have developedconnectors to Dataiku for capturing the details ofthe data and analytics/AI/ML use cases in Dataiku toCollibra.
(ii) Expleo.ai: Expleo.ai is a platform built as a centraliseddata analytics and AI hub organisation based onbest practices of data analytics and AI. This is basedon the VM and Databricks based infrastructure forML development and productionising. The platformalso has multiple ready to use industry specificanalytics, ML, AI and Gen-AI use cases that can helpaccelerate solutioning and implementation.
Expleo was awarded as “Top 20 Innovative Company”in India at CII Industrial Innovation Awards 2024.This award is a testament to Expleo’s focused andeffective innovation programmes like BrightMinds,I-Square, Innovation Jam and Global Hackathons.Expleo’s focus on Impactful Innovation has helped
generate significant valuable innovations acrossindustries, and this award honours the efforts for thesame.
(iv) Sophia: Expleo Sophia is a game changer. Whena requirement is inputted into Sophia either inAgile or traditional waterfall, Sophia will verify andvalidate the requirement and generates the manual/functional test cases. Sophia saves cost, time andeffort that would otherwise be spent on designingmanual test cases. It’s a comprehensive solutionthat uses GenAI and revolutionises the entire testingprocess, starting with requirements engineering,creation of manual test cases and Gherkin format. Itis a shift left approach of scrutinising requirementsfor syntax, semantics, ambiguity, duplicates, andcontradictions, ensuring nothing slips throughthe cracks. These test cases are then ready to beleveraged for automation scripts, making thedevelopment process smoother and faster if theglue code is available.
(v) Teresa: Teresa is an AI automation tool that helps toautomate web, mobile and API which acceleratesdelivery and quality.
(vi) There has been no import of technology during thelast three financial years.
(C) Foreign Exchange Earnings and Outgo:
Foreign exchange earned during the year in termsof actual inflows was Rs. 10,029.56 Mn (previous yearRs. 8,793.96 Mn) whereas foreign exchange outgo duringthe year in terms of actual outflows was Rs. 4,430.62 Mn(previous year Rs. 3,052.45 Mn).
The current year’s inflows and outflows are regardingthe movement of funds into and outside India in foreigncurrency.
Expleo is committed to effectively managing itsoperational, financial and other risks to achieve a balancebetween acceptable levels of risk and reward. Expleohas formulated an Enterprise Risk Management Policy(ERM) in compliance with Regulations of SEBI (ListingObligations and Disclosure Requirements) Regulations,2015 (“the Listing Regulations”) and provisions of theCompanies Act, 2013 (“the Act”), which requires Expleoto lay down procedures about risk assessment and riskminimisation.
The scope of ERM Policy covers risks across all levels ofthe organisation considering the internal and externalcontext. The Enterprise Risk Management of Expleoincludes:
a) Identifying and assessing a broad array ofinternal and external risks that could adverselyimpact the achievement of organisational goalsand objectives in a structured manner.
b) Ensuring appropriate ownership andaccountability of risks.
c) Developing and implementing appropriaterisk mitigation and monitoring plans by riskowners including systems and processes forinternal control of identified risks and businesscontinuity plans.
• Establishing a programme structure that engagesfunctional leaders across to identify and prioritiserisks consistent with the risk tolerances.
• Providing senior leadership / Board with timely keyinformation to make risk-informed decisions.
• Providing reasonable assurance with respect to theorganisation’s ability to achieve its strategic andbusiness objectives.
The key categories of risks identified are:
• Strategic: Any risk that impacts Expleo’s strategyand makes it less effective/ineffective; could betechnology changes, new competitors, change incustomer demand etc.
• Financial: Risks relating specifically to the moneyflowing in and out of the business, and the possibilityof a sudden financial loss.
• Operational: Risks that could facilitate or hinderthe efficiency and effectiveness of core operationswithin the organisation.
• Compliance: Risks relating to non-adherence of anyapplicable legal requirements, statutory adherence,certification requirements, customer requirementsetc.
• ISMS: Risks relating to IT security, cyber risks,information security incidents, data protection andBCP
• Reputational: Risk relating to the potential damageto an organisation’s reputation, brand, or image,resulting from actions, events, or decisions thatcould negatively impact stakeholders’ perceptionsof the organisation.
Risk Management in Expleo includes identification,
assessing, monitoring and mitigating various risks
through a process that has comprehensively evolved
over the years.
The ERM of Expleo comprises policy, processes,structures and guidelines that assist in identifying,assessing, monitoring and managing its business risk,including any material changes to its risk profile. Toachieve this, Expleo has clearly defined the responsibilityand authority of the Board of Directors, to overseeand manage the risk management programme,while conferring responsibility and authority onsenior management to develop and maintain the riskmanagement programme considering the day-to-dayneeds of Expleo.
Regular communication and the review of riskmanagement practice provides Expleo with importantchecks and balances to ensure the efficacy of itsrisk management programme. Risk ManagementCommittees are established consisting of seniormembers of Expleo for periodical monitoring and reviewof the various categories of risks.
The Risk Assessment Process is monitored andcontrolled in different ways. This includes:
• Quarterly internal audits by an independent firm.
• Regular process compliance audits for ISO 9001,AS9100 and ISO 27001 standards, including SOCaudits.
• Periodic audits of compliance with other regulatoryframe works.
• Monitoring and tracking of compliance of applicablelaws for Expleo using Compliance tool, which isupdated on real time basis with latest amendments.
• Annual capital and revenue budget planningfollowed by monthly reviews.
• Annual sales planning with monthly/periodicmonitoring.
• Annual perspective and strategic planning exercisewith a yearly update.
• A conservative approach in planning fundingrequirements.
Over the last few years, Expleo has developedcomprehensive internal financial control processes andprocedures that could effectively mitigate the overallorganisational risks.
The Company has a proper and adequate internalcontrol system. This ensures that all transactions areauthorised, recorded, and reported correctly, andassets are safeguarded and protected against loss fromunauthorised use or disposition. In addition, there are
operational controls and fraud risk controls, coveringthe entire spectrum of Internal Financial Controls.
An extensive programme of internal audits andmanagement reviews supplement the process ofthe Internal Financial Control framework. Properlydocumented policies, guidelines, and procedures havebeen laid down for this purpose. The Internal FinancialControl framework has been designed to ensure thatthe financial and other records are reliable for preparingfinancial and other statements and maintaining assetaccountability. In addition, the Company has identifiedand documented the risks and controls for each processthat is linked to financial operations and reporting.
The Company also has an Audit Committee, comprisingthree Directors, who interact with statutory auditors,internal auditors, and management to deal with matterswithin its terms of reference. This Committee primarilydeals with issues of accounting, financial reporting,and internal control. The framework for the InternalFinancial Controls was made by:
• Defining controls, governance, and standards,including policies and procedures, organisationalstructures, and performance objectives.
• Establishing control designs including roles andresponsibilities, risk identification and capacity todeliver business objectives.
• Evolving controls including control systems andimprovements.
• Compliance and control monitoring throughinternal resources or audit or a combination of both.
The internal audit team, along with the process team,monitors and evaluates the efficacy and adequacy ofinternal control systems in the Company, its compliancewith operating systems, accounting procedures,and policies. Based on the internal audit report,corrective actions, if any, are undertaken and controlsstrengthened in the respective areas. Significant auditobservations and responses/corrective actions, if any,are presented to the Audit Committee of the Board.During the year, an Internal Financial Control (IFC)audit concerning financial statements was done by theStatutory Auditors. Their report is annexed as part of theIndependent Auditor’s Report.

a) Vidya Sagar - Education for Differently-abled
Children
i. Expleo has contributed towards supporting specialeducation through Vidya Sagar, a high school whichworks with children with disabilities, of schoolgoing age 15 years and above. They conduct classesas per the guidelines in their Standard OperatingProcedure and ensure to adhere to thegovernment guidelines for schools in general.The Company contributed towards the salaryof therapist and special education trainer to thehigh school students of Vidya Sagar. The therapistwas responsible for physiotherapy, speech,alternative and augmentative communicationtraining, occupation therapy, procurement andoptimal utilisation of furniture, mobility andorthotic aids. Additionally, the students were alsoimparted with functional and life skills enablingthem to explore vocations.
ii. The Company has supported Vidya Sagar’s Caregivers Training Programme. This programmeaims at creating a cadre of motivated andenergetic support workers/ caregivers / personalattendants as they are absolutely essential and
an integral part of creating support systemsin the community. The Care giver training isin partnership with TNASDCH, the Tamil NaduApex Skill Development Centre for Healthcare.TNASDCH will be conducting the examinationand giving the certificate. A Govt of India certifiedcourse certainly is coveted. The course also offersresidential arrangements with boarding andlodging to at least five trainees.
iii. The Company has sponsored a school van lastyear and this year has sponsored the purchaseand installation of a hydraulic lift. The school vanis equipped with hydraulic lift, secure seating, andhas trained staff to assist children with variousneeds during transportation. b) Rotary Club - Smart Boards for Government
Schools
i. Expleo in collaboration with Rotary Club ofTaramani (NGO), has sponsored and installedten state-of-the-art Smart Boards at LadyWillington High School, Triplicane (governmentschool in Chennai).
ii. The integration of Smart Boards intoeducational settings marks a significantadvancement in the way students engage withcontent and participate in the learning process.These interactive boards serve as a dynamictool, allowing for a more hands-on approachto education. They can display a wide rangeof multimedia resources, facilitate real-timecollaboration, and offer immediate access to awealth of online information.
iii. By incorporating Smart Boards, educators areable to cater to various learning styles, ensuringthat each student can benefit from lessons thatare visually rich and kinaesthetically engaging.The initiative to equip government schools withthis technology is a commendable step towardsreducing the digital divide and enhancing theeducational experience for a large number
of students, fostering an environment wheretechnology and learning go hand in hand.
iv. With this smart initiative, we are delighted toinform that we have ignited the digital journeyof 1000 government school students.
Labourers
i. Expleo has partnered with Diya Ghar, an NGOwith a heart for the migrant community. It startedwith a vision for all children, irrespective of theireconomic status, to have access to stimulatingand nurturing pre-school education. The NGOstarted community centres with a focus to provideearly childhood education, nutrition, health, andchildcare for the children.
ii. Expleo has supported Diya Ghar’s “community-based model” programme wherein newportable and prefabricated community centresare established to provide education for thechildren of migrant labourers.
iii. The project included identification and trainingcommunity teachers, conducting classes usingMontessori method, preparing students andtheir families to get them enrolled in PrimarySchools.
d) Swadha Foundation
i. Expleo has partnered with Swadha Foundation,a 12-year-old NGO based in Bengaluru, enablingrural students of class eleven to continueeducation up to degree level and teachingthem skills to make them employable.
ii. Expleo has sponsored 40 students aroundTumkuru in Karnataka. The aims of this projectare:
• To educate and empower rural girls and boyswho have finished class ten and want tobreak free from generational backwardnessby educating themselves further. Many ofthese students would be first generationgraduates from poor families, residing invillages or tier 2 / 3 towns.
• By sowing the seeds of empowermentthrough education, Expleo would haveinvested in 40 success stories. Thus, creatinga pilot for empowering women early thatcould be replicated across states and acrosscountries.
Over the years, Expleo has been supporting Agastya(Science Centre and Mobile Science Lab) in twoschools in Chennai, two schools in Mumbai and oneschool in Bengaluru.
• The programme objective was to help catalyselocal schools and educators and improve thequality of education for rural/municipal schoolchildren and teachers.
• It increased the access to practical,hands-on science education for underprivileged children. The project includedsignificant improvement in the classroomlearning environment, provided better andmore productive interaction and hands-onlearning opportunities with improved overalllearning and understanding of concepts.
• All the beneficiaries under this project wereeconomically disadvantaged and werestudents and teachers at government schools.
• The Company sponsored the “IntegratedMobile Science Lab” project, which providedstudents exposure to design thinking,resulting in them building innovative projectsfor themselves, their schools and theircommunities as well as Science conceptsfrom their syllabus.
f) Siruthuli - Post Graduate Programme for theUnderprivileged
• The Company is implementing a CSR initiativeon skill development in partnership withthe NGO Siruthuli, (partners with SmartCliffLearning Solutions, Coimbatore), Throughthis programme the Company sponsored 43students from economically disadvantagedbackgrounds for MCA and ME programmes.Apart from the PG programme, the studentswill be equipped with industry-ready skills,ensuring they become confident professionals.
g) Maharshi Karve Stree Shikshan Samstha -
Development of Computer Lab for Vidyapeeth
High School
• The Company has sponsored the developmentof a computer lab for Vidyapeeth High School, tofacilitate computer education as well as a widesource of information online for school students.
• The computer lab will give a blended ande-learning experience to students, in theclassroom and online. Also, the school plans todesign new IT skill courses in line with NEP.
• The state of the art computer lab has 30computers with the latest configuration, whichwill add value to the students’ knowledge andenhance their learning experience.
h) Procurement of School Van for Jagrut ApangSanghatana Sanchalit’s Mahatma Phule ApangPrashikshan Kendra, (MPAPK) Pune
• The Company has supported the procurementof a Maruti Suzuki Eeco Van to enhance thetransportation facilities for the students studyingin MPAPK. This project aims to provide safe,reliable, and comfortable transportation for the
students and staff members, thereby improvingtheir travel planned for various educational andextracurricular activities.
• This also results in better participation of thestudents in school programmes, field trips,sporting games and community events wherethey can leverage usage of Eeco van wheneverneeded.
i) Contribution to Siruthuli, NGO
• Rapid urbanisation has led to the depletionof forest cover. Coimbatore, which was once aplace known for its salubrious climate and greencover, underwent a major transition with all thetrees along major transit roads being axed. Overthe years, the locals can feel the change in theclimate and reduction in water availability.
• Expleo, in partnership with NGO Siruthuli,has planted 2200 trees in the reserve site atTheethipalayam Panchayat at Coimbatore lastyear. This year we have supported the NGO forthe maintenance of the trees and plants.
j) Contribution to Indian Institute of Technology
(IIT) Chennai
• The company is supporting IIT Chennai’sIntrusion Monitoring of Gas Pipelines forSustainable Smart Cities project. This projectis a study on intrusion monitoring as well asleak detection in urban gas pipelines using adistributed fibre sensing system as part of aCSR initiative.
• Social benefits: In the event of constructionactivity near the pipeline, the fibre optic systemwill detect the accurate location of digging andraise an alarm so that any damage to the pipelineinfrastructure can be averted. The system willdetect the presence of heavy equipment in theimmediate vicinity of the pipeline even beforedigging commences, thus increasing the abilityof the pipeline operator to prevent any pipeline
damage. This, in turn, will ensure safe and securesupply of gas to individual households therebypaving the way for sustainable smart cities.

Under Section 134(5) of the Companies Act, 2013, theDirectors confirm that:
a) For the preparation of the annual FinancialStatements, the applicable accounting standardswere followed, accompanied by a properexplanation relating to material departures.
b) Accounting policies were selected and appliedconsistently; fair judgement was used, andprudent estimates made to give an accurateview of the Company’s state of affairs at the endof the financial year, and its profit and loss forthat period.
c) Proper and sufficient care was taken formaintaining adequate accounting recordsas per provisions of this Act to safeguard theCompany’s assets to prevent and detect fraudand other irregularities.
d) Annual Financial Statements were prepared ona going concern basis.
e) The Company laid down Internal FinancialControls and such internal financial controls areadequate and these were operating effectively.
f) Proper systems were devised to ensurecompliance with all applicable laws, andsuch systems were adequate and operatingeffectively.
Under the provisions of the Companies Act, 2013,and SEBI (Listing Obligations and DisclosureRequirements) Regulations, 2015, as amended, theBoard of Directors of the Company, in their meetingheld on May 22, 2025, evaluated its performance, thatof its Committees and Individual Directors, includingIndependent Directors. No Director participated inhis/her evaluation. The Independent Directors reviewedthe Non-Independent Directors, Chairperson, and theBoard at a separate meeting of Independent Directorsheld on March 19, 2025. The Board of Directors wasevaluated on various criteria, including attendance,participation in Board meetings, involvement byproviding advice, guidance, suggestions on the businessfront and the willingness and commitment to devotethe time necessary to fulfil his/her duties.
The Independent Directors were also evaluated basedon the performance, professional conduct, roles, andduties as specified in Schedule IV of the Companies Act,2013, and based on the fulfilment of the IndependentDirector criteria as specified in Regulation 17 of SEBI(Listing Obligations and Disclosure Requirements)Regulations, 2015. The Board evaluation was based oncomposition and statutory compliance, understandingbusiness risks, adherence to process and procedures,overseeing management procedures for enforcing codeof conduct, and ensuring various policies, includingthe Whistle Blower Policy, were in force. The Board ofDirectors is of the opinion that Independent Directorspossess integrity, expertise, and experience, includingproficiency.

The Company is required to give disclosures relatingto remuneration under Section 197(12) of the Act readwith Rule 5 of the Companies (Appointment andRemuneration of Managerial Personnel) Rules, 2014,which is annexed as Annexure-IV and forms an integralpart of this Report.

The Company has not accepted or renewed any publicdeposits and, as such, no amount of principal or interestwas outstanding on the Balance Sheet as of date.

Expleo, in alignment with the Sexual Harassment ofWomen at Workplace (Prevention, Prohibition, andRedressal) Act, 2013, has diligently carried out itsresponsibilities under the POSH framework duringthe financial year 2024-2025. The Company has apolicy on the prevention of sexual harassment atthe workplace. The organisation has continued toimplement preventive measures, including conductingcomprehensive POSH training sessions for all existingemployees to ensure awareness about workplaceharassment, its consequences, and the mechanisms forreporting incidents.
