We have audited the accompanying standalone financialstatements of Gujarat Fluorochemicals Limited, ("theCompany"), which comprise the Standalone BalanceSheet as at 31st March, 2025, the Standalone Statement ofProfit and Loss (including Other Comprehensive Income),the Standalone Statement of Changes in Equity and theStandalone Statement of Cash Flows for the year thenended, and notes to the standalone financial statements,including a summary of material accounting policies andother explanatory information ("the standalone financialstatements").
In our opinion and to the best of our information andaccording to the explanations given to us, the aforesaidstandalone financial statements give the informationrequired by the Companies Act, 2013 ("the Act") in the mannerso required and give a true and fair view in conformity withthe Indian Accounting Standards prescribed under section133 of the Act, read with the Companies (Indian AccountingStandards) Rules, 2015 ("Ind AS") and other accountingprinciples generally accepted in India, of the state of affairsof the Company as at 31st March, 2025, and its profit, totalcomprehensive income, changes in equity and its cash flowsfor the year ended on that date.
We conducted our audit in accordance with the Standardson Auditing (SAs) specified under section 143(10) of theAct. Our responsibilities under those Standards are furtherdescribed in the 'Auditor’s Responsibilities for the Audit of theStandalone Financial Statements’ section of our report. Weare independent of the Company in accordance with the Codeof Ethics issued by the Institute of Chartered Accountants ofIndia ("ICAI") together with the ethical requirements that arerelevant to our audit of the standalone financial statementsunder the provisions of the Act and the Rules made thereunder, and we have fulfilled our other ethical responsibilitiesin accordance with these requirements and the ICAI’sCode of Ethics. We believe that the audit evidence we haveobtained is sufficient and appropriate to provide a basis forour opinion on the standalone financial statements.
Key audit matters are those matters that, in our professionaljudgment, were of most significance in our audit of thestandalone financial statements of the current period. Wehave determined that there are no key audit matters tocommunicate in our report.
INFORMATION OTHER THAN THE FINANCIALSTATEMENTSANDAUDITOR'S REPORTTHEREON ("OTHERINFORMATION")
The Company’s Board of Directors is responsible for thepreparation of the other information. The other informationcomprises the information included in Company’s AnnualReport but does not include the financial statements andour auditor’s report thereon. The Company’s Annual Reportis expected to be made available to us after the date of thisauditor’s report.
Our opinion on the standalone financial statements does notcover the other information and we will not express any formof assurance conclusion thereon.
In connection with our audit of the standalone financialstatements, our responsibility is to read the other informationidentified above when it becomes available and, in doingso, consider whether the other information is materiallyinconsistent with the standalone financial statements or ourknowledge obtained in the audit or otherwise appears to bematerially misstated.
When we read the Company’s Annual Report, if we concludethat there is a material misstatement therein, we arerequired to communicate the matter to those charged withgovernance and take necessary actions as per the applicablelaws and regulations.
RESPONSIBILITIES OF MANAGEMENT AND THOSECHARGED WITH GOVERNANCE FOR THE STANDALONEFINANCIAL STATEMENTS
The Company’s Board of Directors is responsible for thematters stated in section 134(5) of the Act with respect tothe preparation of these standalone financial statementsthat give a true and fair view of the financial position,financial performance including other comprehensiveincome, changes in equity and cash flows of the Company inaccordance with the Ind AS and other accounting principlesgenerally accepted in India. This responsibility also includesmaintenance of adequate accounting records in accordancewith the provisions of the Act for safeguarding of the assetsof the Company and for preventing and detecting frauds andother irregularities; selection and application of appropriateaccounting policies; making judgments and estimates thatare reasonable and prudent; and design, implementationand maintenance of adequate internal financial controls,that were operating effectively for ensuring the accuracyand completeness of the accounting records, relevant tothe preparation and presentation of the financial statementsthat give a true and fair view and are free from materialmisstatement, whether due to fraud or error.
In preparing the standalone financial statements,management is responsible for assessing the Company’sability to continue as a going concern, disclosing, asapplicable, matters related to going concern and using thegoing concern basis of accounting unless managementeither intends to liquidate the Company or to ceaseoperations, or has no realistic alternative but to do so.
The Board of Directors is also responsible for overseeing theCompany’s financial reporting process.
Our objectives are to obtain reasonable assurance aboutwhether the standalone financial statements as a wholeare free from material misstatement, whether due to fraudor error, and to issue an auditor’s report that includes ouropinion. Reasonable assurance is a high level of assurance,but is not a guarantee that an audit conducted in accordancewith SAs will always detect a material misstatement when itexists. Misstatements can arise from fraud or error and areconsidered material if, individually or in the aggregate, theycould reasonably be expected to influence the economicdecisions of users taken on the basis of these standalonefinancial statements.
As part of an audit in accordance with SAs, we exerciseprofessional judgement and maintain professionalskepticism throughout the audit. We also:
• Identify and assess the risks of material misstatementof the standalone financial statements, whether dueto fraud or error, design and perform audit proceduresresponsive to those risks, and obtain audit evidencethat is sufficient and appropriate to provide a basisfor our opinion. The risk of not detecting a materialmisstatement resulting from fraud is higher than forone resulting from error, as fraud may involve collusion,forgery, intentional omissions, misrepresentations, orthe override of internal control.
• Obtain an understanding of internal financial controlsrelevant to the audit in order to design audit proceduresthat are appropriate in the circumstances. Undersection 143(3)(i) of the Act, we are also responsiblefor expressing our opinion on whether the Companyhas adequate internal financial controls with referenceto financial statements in place and the operatingeffectiveness of such controls.
• Evaluate the appropriateness of accounting policiesused and the reasonableness of accounting estimatesand related disclosures made by management.
• Conclude on the appropriateness of management’s useof the going concern basis of accounting and, based
on the audit evidence obtained, whether a materialuncertainty exists related to events or conditionsthat may cast significant doubt on the Company’sability to continue as a going concern. If we concludethat a material uncertainty exists, we are required todraw attention in our auditor’s report to the relateddisclosures in the standalone financial statements or, ifsuch disclosures are inadequate, to modify our opinion.Our conclusions are based on the audit evidenceobtained up to the date of our auditor’s report. However,future events or conditions may cause the Company tocease to continue as a going concern.
• Evaluate the overall presentation, structure and contentof the standalone financial statements, including thedisclosures, and whether the standalone financialstatements represent the underlying transactions andevents in a manner that achieves fair presentation.
We communicate with those charged with governanceregarding, among other matters, the planned scope andtiming of the audit and significant audit findings, includingany significant deficiencies in internal control that we identifyduring our audit.
We also provide those charged with governance with astatement that we have complied with relevant ethicalrequirements regarding independence, and to communicatewith them all relationships and other matters that mayreasonably be thought to bear on our independence, andwhere applicable, related safeguards.
From the matters communicated with those charged withgovernance, we determine those matters that were ofmost significance in the audit of the standalone financialstatements of the current period and are therefore the keyaudit matters. We describe these matters in our auditor’sreport unless law or regulation precludes public disclosureabout the matter or when, in extremely rare circumstances,we determine that a matter should not be communicatedin our report because the adverse consequences of doingso would reasonably be expected to outweigh the publicinterest benefits of such communication.
1. As required by the Companies (Auditor’s Report) Order,2020 ("the Order"), issued by the Central Governmentof India in terms of section 143(11) of the Act, we givein the Annexure I a statement on the matters specifiedin paragraphs 3 and 4 of the Order, to the extentapplicable.
2. As required by Section 143(3) of the Act, based on ouraudit, we report that:
(a) We have sought and obtained all the informationand explanations which to the best of our
b) As stated in note 17.2 to the standalonefinancial statements, the Board ofDirectors of the Company has proposedfinal dividend for the year which issubject to the approval of the membersat the ensuing Annual General Meetingand same is in accordance with section123 of the Act to the extent it applies todeclaration of dividend.
vi. Based on our examination which includedtest checks, the company has used anaccounting software for maintaining itsbooks of account which has a feature ofrecording audit trail (edit log) facility andthe same has operated throughout the year
knowledge and belief were necessary for thepurposes of our audit.
(b) In our opinion, proper books of account as requiredby law have been kept by the Company so far as itappears from our examination of those books.
(c) The Standalone Balance Sheet, the StandaloneStatement of Profit and Loss including (OtherComprehensive Income), the StandaloneStatement of Changes in Equity and theStandalone Statement of Cash Flows dealt withby this Report are in agreement with the books ofaccount.
(d) In our opinion, the aforesaid standalone financialstatements comply with the Ind AS specifiedunder Section 133 of the Act, read with Rule 7 ofthe Companies (Accounts) Rules, 2014.
(e) On the basis of the written representationsreceived from the directors as on 31 March 2025taken on record by the Board of Directors, noneof the directors is disqualified as on 31st March,2025 from being appointed as a director in termsof Section 164(2) of the Act.
(f) With respect to the adequacy of the internalfinancial controls with reference to financialstatements of the Company and the operatingeffectiveness of such controls, refer to ourseparate Report in Annexure II wherein we haveexpressed an unmodified opinion.
(g) With respect to the other matters to be includedin the Auditor’s Report in accordance with therequirements of section 197(16) of the Act, inour opinion and to the best of our informationand according to the explanations given to us,the remuneration paid by the Company to itsdirectors during the year is in accordance with theprovisions of section 197 of the Act.
(h) With respect to the other matters to be included inthe Auditor’s Report in accordance with Rule 11 ofthe Companies (Audit and Auditors) Rules, 2014,in our opinion and to the best of our informationand according to the explanations given to us:
i. The Company has disclosed the impact ofpending litigations on its financial position inits standalone financial statements;
ii. The Company did not have any long-termcontracts including derivative contracts forwhich there were any material foreseeablelosses; and
iii. There were no amounts which were required
to be transferred to the Investor Education
and Protection Fund by the Company.
iv. a) The management has represented that,
to the best of its knowledge and belief,no funds have been advanced or loanedor invested (either from borrowed fundsor share premium or any other sourcesor kind of funds) by the Company to or inany other persons or entities, includingforeign entities ("Intermediaries"), withthe understanding, whether recordedin writing or otherwise, that theIntermediary shall, whether, directlyor indirectly lend or invest in otherpersons or entities identified in anymanner whatsoever by or on behalf ofthe Company ("Ultimate Beneficiaries")or provide any guarantee, securityor the like on behalf of the UltimateBeneficiaries.
b) The management has representedthat, to the best of its knowledgeand belief, no funds have beenreceived by the Company from anypersons or entities, including foreignentities ("Funding Parties"), with theunderstanding, whether recorded inwriting or otherwise, that the Companyshall, whether, directly or indirectly, lendor invest in other persons or entitiesidentified in any manner whatsoeverby or on behalf of the Funding Party("Ultimate Beneficiaries") or provide anyguarantee, security or the like on behalfof the Ultimate Beneficiaries; and
c) Based on the audit procedures whichwe have considered reasonable andappropriate in the circumstances,nothing has come to our notice thathas caused us to believe that therepresentations under sub-clause (i)and (ii) of Rule 11 (e), as provided under(a) and (b) above, contain any materialmisstatement.
v. a) The final dividend paid by the Company
during the year, in respect of suchdividend declared for the previous year,is in accordance with section 123 of theAct.
for all relevant transactions recorded in thesoftware. Further, during the course of ouraudit we did not come across any instanceof audit trail feature being tampered withand the audit trail has been preserved by theCompany as per the statutory requirementsfor record retention.
