We have audited the accompanying standalone financialstatements of ASIAN GRANITO INDIA LIMITED (the"Company"), which comprise the Balance Sheet asat March 31, 2026, the Statement of Profit and Loss(including Other Comprehensive Income), the Statementof Changes in Equity and the Statement of Cash Flowsfor the year then ended on that date and a summaryof the material accounting policies and other explanatoryinformation ( here in after referred to as "the standalonefinancial statements").
In our opinion and to the best of our information andaccording to the explanations given to us, the aforesaidstandalone financial statements give the informationrequired by the Companies Act, 2013, as amended (the"Act") in the manner so required and give a true and fairview in conformity with the Indian Accounting Standardsprescribed under section 133 of the Act read with theCompanies (Indian Accounting Standards) Rules, 2015,as amended, ("Ind AS") and other accounting principlesgenerally accepted in India, of the state of affairs ofthe Company as at March 31, 2026 and its profit, totalcomprehensive income, changes in equity and its cashflows for the year ended on that date.
Basis for Opinion
We conducted our audit of the standalone financialstatements in accordance with the Standards onAuditing ("SA") specified under section 143(10) of the Act.Our responsibilities under those Standards are furtherdescribed in the Auditor's Responsibilities for the Audit ofthe Standalone Financial Statements section of our report.We are independent of the Company in accordance withthe Code of Ethics issued by the Institute of CharteredAccountants of India ("ICAI") together with the ethicalrequirements that are relevant to our audit of thestandalone financial statements under the provisions ofthe Act and the Rules made there under, and we havefulfilled our other ethical responsibilities in accordancewith these requirements and the ICAI's Code of Ethics. Webelieve that the audit evidence obtained by us is sufficientand appropriate to provide a basis for our audit opinion onthe standalone financial statements.
Emphasis on Matter
We draw your attention to the Note 47 of the StandaloneFinancial Statement that describes the search operation
carried out by the Income Tax department at theCompany's business premises on May 26, 2022, pursuantto which various order have been received and theCompany has filled appeal against such order. Pendingfinalization of appeals the impact of these matters onthe Standalone Financial Statement for the year endedon March 31, 2026 and the adjustment (if any) requiredto these Standalone Financial Statement, is presently notascertainable.
We draw your attention to Notes. 44 and 45 to theStandalone Financial Statement which describes thatthe Scheme of Arrangement that has been approvedby the National Company Law Tribunal ("NCLT").Accordingly, these Standalone Financial Statementhave been prepared after giving effect of the Schemefrom the appointed date i.e. October 16, 2023, as perNCLT approved order.
Our opinion is not modified in respect of the abovematters.
Key Audit Matters
Key audit matters are those matters that, in our professionaljudgment, were of most significance in our audit of thefinancial statements of the current period. These matterswere addressed in the context of our audit of the financialstatements as a whole, and in forming our opinionthereon, and we do not provide a separate opinion onthese matters. We have determined that there are no keyaudit matters to be communicated in our report.
Information Other than the StandaloneFinancial Statements and Auditor'sReport Thereon
The Company's Board of Directors is responsible for theother information. The other information comprises theinformation included in the Management Discussionand Analysis, Board's Report including Annexure toBoard's Report, Corporate Governance and shareholder'sinformation, but does not include the standalone financialstatements and our auditor's report thereon. The otherinformation is expected to be made available to us afterthe date of this auditor's report.
Our opinion on the standalone financial statements doesnot cover the other information and we do not expressany form of assurance conclusion thereon.
In connection with our audit of the standalone financialstatements, our responsibility is to read the otherinformation and, in doing so, consider whether the otherinformation is materially inconsistent with the standalonefinancial statements or our knowledge obtained duringthe course of our audit or otherwise appears to bematerially misstated.
When we read the Other Information, if we concludethat there is a material misstatement therein, we arerequired to communicate the matter to those chargedwith governance as required under SA 720 'The Auditor'sresponsibilities Relating to Other Information'.
Management's Responsibility for theStandalone Financial Statements
The Company's management and Board of Directors areresponsible for the matters stated in section 134(5) of theAct, with respect to the preparation of these standalonefinancial statements that give a true and fair viewof the financial position, financial performance includingother comprehensive income, changes in equity andcash flows of the Company in accordance with theInd AS other accounting principles generally acceptedin India. This responsibility also includes maintenanceof adequate accounting records in accordance with theprovisions of the Act for safeguarding the assets of theCompany and for preventing and detecting frauds andother irregularities; selection and application of appropriateaccounting policies; making judgments and estimates thatare reasonable and prudent; and design, implementationand maintenance of adequate internal financial controls,that were operating effectively for ensuring the accuracyand completeness of the accounting records, relevantto the preparation and presentation of the financialstatements that give a true and fair view and are free frommaterial misstatement, whether due to fraud or error.
In preparing the standalone financial statements,management is responsible for assessing the Company'sability to continue as a going concern, disclosing,as applicable, matters related to going concern andusing the going concern basis of accounting unlessmanagement either intends to liquidate the Company orto cease operations, or has no realistic alternative but todo so.
The Board of Directors are responsible for overseeing theCompany's financial reporting process.
Auditor's Responsibilities for the Audit ofthe Standalone Financial Statements
Our objectives are to obtain reasonable assurance aboutwhether the standalone financial statements as a wholeare free from material misstatement, whether due to fraudor error, and to issue an auditor's report that includesour opinion. Reasonable assurance is a high level ofassurance, but is not a guarantee that an audit conductedin accordance with SAs will always detect a materialmisstatement when it exists. Misstatements can arise from
fraud or error and are considered material if, individuallyor in the aggregate, they could reasonably be expected toinfluence the economic decisions of users taken on thebasis of these standalone financial statements.
As part of an audit in accordance with SAs, we exerciseprofessional judgment and maintain professionalskepticism throughout the audit. We also:-
• I dentify and assess the risks of material misstatementof the standalone financial statements, whether dueto fraud or error, design and perform audit proceduresresponsive to those risks, and obtain audit evidencethat is sufficient and appropriate to provide a basisfor our opinion. The risk of not detecting a materialmisstatement resulting from fraud is higher than forone resulting from error, as fraud may involve collusion,forgery, intentional omission, misrepresentations, orthe override of internal control.
• Obtain an understanding of internal financial controlsrelevant to the audit in order to design audit proceduresthat are appropriate in the circumstances. Undersection 143(3)(i) of the Act, we are also responsible forexpressing our opinion on whether the Company hasadequate internal financial controls system in placeand the operating effectiveness of such controls.
• Evaluate the appropriateness of accounting policiesused and the reasonableness of accounting estimatesand related disclosures made by management.
• Conclude on the appropriateness of management'suse of the going concern basis of accounting and,based on the audit evidence obtained, whethera material uncertainty exists related to events orconditions that may cast significant doubt on theCompany's ability to continue as a going concern.If we conclude that a material uncertainty exists, weare required to draw attention in our auditor's reportto the related disclosures in the standalone financialstatements or, if such disclosures are inadequate, tomodify our opinion. Our conclusions are based on theaudit evidence obtained up to the date of our auditor'sreport. However, future events or conditions maycause the Company to cease to continue as a goingconcern.
• Evaluate the overall presentation, structure and contentof the standalone financial statements, including thedisclosures, and whether the standalone financialstatements represent the underlying transactions andevents in a manner that achieves fair presentation.
Materiality is the magnitude of misstatements in thestandalone financial statements that, individually orin aggregate, makes it probable that the economicdecisions of a reasonably knowledgeable user of the
standalone financial statements may be influenced. Weconsider quantitative materiality and qualitative factors in(i) planning the scope of our audit work and in evaluatingthe results of our work; and (ii) to evaluate the effect ofany identified misstatements in the standalone financialstatements.
We communicate with those charged with governanceregarding, among other matters, the planned scope andtiming of the audit and significant audit findings, includingany significant deficiencies in internal control that weidentify during our audit.
We also provide those charged with governance witha statement that we have complied with relevantethical requirements regarding independence, and tocommunicate with them all relationships and othermatters that may reasonably be thought to bear on ourindependence, and where applicable, related safeguards.
From the matters communicated with those charged withgovernance, we determine those matters that were ofmost significance in the audit of the standalone financialstatements of the current period and are therefore the keyaudit matters. We describe these matters in our auditor'sreport unless law or regulation precludes public disclosureabout the matter or when, in extremely rare circumstances,we determine that a matter should not be communicatedin our report because the adverse consequences of doingso would reasonably be expected to outweigh the publicinterest benefits of such communication.
Report on Other Legal andRegulatory Requirements
1. As required by Section 143(3) of the Act, based on our
audit we report that:
a. We have sought and obtained all the informationand explanations which to the best to ourknowledge and belief were necessary for thepurposes of our audit.
b. In our opinion, proper books of account as requiredby law have been kept by the Company so far as itappears from our examination of those books.
c. The Balance Sheet, the Statement of Profit andLoss including Other Comprehensive Income,Statement of Changes in Equity and the Statementof Cash Flow dealt with by this Report are inagreement with the relevant books of account.
d. I n our opinion, the aforesaid standalone financialstatements comply with the Ind AS specified underSection 133 of the Act.
e. On the basis of the written representations receivedfrom the directors as on March 31, 2026 takenon record by the Board of Directors, none of thedirectors is disqualified as on March 31, 2026 from
being appointed as a director in terms of Section164 (2) of the Act.
f. With respect to the adequacy of the internalfinancial controls over financial reporting ofthe Company and the operating effectivenessof such controls, refer to our separate Report in“Annexure A”.
g. With respect to the other matters to be includedin the Auditor's Report in accordance with therequirements of section 197(16) of the Act, asamended:
I n our opinion and to the best of our informationand according to the explanations given to us, theremuneration paid by the Company to its directorsduring the year is in accordance with the provisionsof section 197 of the Act.
h. With respect to the other matters to be includedin the Auditor's Report in accordance with Rule 11of the Companies (Audit and Auditors) Rules, 2014,as amended in our opinion and to the best ofour information and according to the explanationsgiven to us:
i. As informed to us the Company discloses theimpact of pending litigation on its financialposition in its standalone financial statements.
ii. The Company did not have any long-termcontracts including derivative contracts forwhich there were any material foreseeablelosses.
iii. There has been no delay in transferringamounts, required to be transferred, to theInvestor Education and Protection Fund bythe Company.
iv. (a) The Management has represented that,
to the best of its knowledge and belief,no funds (which are material eitherindividually or in the aggregate) havebeen advanced or loaned or invested(either from borrowed funds or sharepremium or any other sources or kindof funds) by the Company to orin any other person or entity , includingforeign entity ("Intermediaries"), withthe understanding, whether recorded inwriting or otherwise, that the Intermediaryshall, whether, directly or indirectly lendor invest in other persons or entitiesidentified in any manner whatsoever byor on behalf of the Company ("UltimateBeneficiaries") or provide any guarantee,security or the like on behalf of theUltimate Beneficiaries;
(b) The Management has represented,that , to the best of its knowledge andbelief, no funds (which are material
either individually or in the aggregate)have been received by the Companyfrom any person or entity, includingforeign entity ("Funding Parties"), withthe understanding, whether recorded inwriting or otherwise, that the Companyshall, whether, directly or indirectly, lendor invest in other persons or entitiesidentified in any manner whatsoever by oron behalf of the Funding Party ("UltimateBeneficiaries ") or provide any guarantee,security or the like on behalf of theUltimate Beneficiaries;
(c) Based on the audit procedures thathave been considered reasonable andappropriate in the circumstances, nothinghas come to our notice that has causedus to believe that the representationsunder sub-clause (i) and (ii) of rule 11(e),as provided under(a)and(b)above, containany material misstatement.
v. The Company has not declared or paiddividend during the year covered by our audit.
vi. Based on our examination, which includetest checks, the Company has usedaccounting software for maintaining itsbooks of account for the financial yearended March 31, 2026 which has a feature
of recording audit trail (edit log) facility andthe same has operated throughout the yearfor all relevant transactions recorded in thesoftware. Further, during the course of ouraudit we did not come across any instanceof the audit trail feature being tampered withand the audit trail has been preserved by theCompany as per the statutory requirementsfor records retention.
2. As required by the Companies (Auditor's Report) Order,2020 ("the Order") issued by the Central Governmentin terms of Section 143(11) of the Act, we give in“Annexure B” a statement on the matters specified inparagraphs 3 and 4 of the Order.
