We have audited the accompanying financial statements of Shree Ram Proteins Limited ("the Company”) whichcomprises the Balance Sheet as at March 31, 2025, and the Statement of Profit and Loss, Statement of Cash Flows,and Statement Of Changes in Equity for the year then ended, and notes to the financial statements, including asummary of significant accounting policies and other explanatory information.
In our opinion and to the best of our information and according to the explanations given to us, the aforesaidfinancial statements give the information required by the Companies Act, 2013 ("the Act”) in the manner sorequired and give a true and fair view in conformity with the accounting principles generally accepted in India, ofthe state of affairs of the Company as at March 31, 2025, and its profit, total comprehensive income, its cash flowsfor the year ended on that date.
Basis for Opinion
The Company has been unable to conclude re-negotiations or obtain replacement financing. This situationindicates that a material uncertainty exists that may cast significant doubt on the Company's ability to continue asa going concern. The financial statements do not adequately disclose this matter.
The Company has not carried out an inspection of its fixed assets and has not maintained a register of fixed assetsduring the year under review. Consequently, we were unable to carry out auditing procedures necessary to obtainadequate assurance regarding the quantities and condition of fixed assets, appearing in the balance sheet atRs.490.00 lakh there were no other satisfactory audit procedures that we could adopt to obtain sufficient evidenceregarding the existence of such fixed assets. Accordingly, we have not been able to obtain sufficient appropriateaudit evidence to provide a basis for an audit opinion. Any adjustment to the figure may have a consequentialsignificant effect on the loss for the year and net assets as at March 31 ,2024.
The Company has not carried out an inspection of its inventories during the year under review. Consequently, we wereunable to carry out auditing procedures necessary to obtain adequate assurance regarding the quantities and conditionof such inventories appearing in the balance sheet at Rs. 1732.28 lakh. There were no other satisfactory auditprocedures that we could adopt to obtain sufficient evidence regarding the existence of such inventories. Accordingly,we have not been able to obtain sufficient appropriate audit evidence to provide a basis for an audit opinion. Anyadjustment to the figure may have a consequential significant effect on the loss for the year and net assets as at March31,2025.This was also a subject matter of qualification in our previous year's audit report on the audited financialstatements for the Year ended March 31,2024.
We conducted our audit in accordance with the Standards on Auditing (SAs) specified under Section 143(10) ofthe Companies Act, 2013. Our responsibilities under those Standards are further described in the Auditor'sResponsibilities for the Audit of the Financial Statements section of our report. We are independent of theCompany in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India togetherwith the ethical requirements that are relevant to our audit of the financial statements under the provisions of theCompanies Act, 2013 and the Rules thereunder, and we have fulfilled our other ethical responsibilities inaccordance with these requirements and the Code of Ethics. We believe that the audit evidence we have obtainedis sufficient and appropriate to provide a basis for our opinion.
Material Uncertainty Related to Going Concern
We draw attention to the financial statements, which indicate that the Company incurred a net loss of Rs. 2107.51Lakh during the year ended March 31,2025. These conditions, along with the matters stated forth with indicatethat a material uncertainty exists that may cast significant doubt on the Company's ability to continue as a goingconcern. Our opinion is not modified in respect of this matter.
Key Audit Matters
Key audit matters are those matters that, in our professional judgment, were of most significance in our audit ofthe financial statements of the current period. These matters were addressed in the context of our audit of thefinancial statements as a whole, and in forming our opinion thereon, and we do not provide a separate opinion onthese matters.
Information Other than the Financial Statements and Auditors Report Thereon
The Company's Board of Directors is responsible for the preparation of the other information. The otherinformation comprises the information included in the Management Discussion and Analysis, Board's Reportincluding Annexures to Board's Report and Shareholder's Information, but does not include the financialstatements and our auditor's report thereon.
Our opinion on the financial statements does not cover the other information and we do not express any form ofassurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, indoing so, consider whether the other information is materially inconsistent with the financial statements or ourknowledge obtained during the course of our audit or otherwise appears to be materially misstated.
lf, based on the work we have performed, we conclude that there is a material misstatement of this otherinformation, we are required to report that fact. We have nothing to report in this regard.
Responsibility of Management for the Financial Statements
The Companies Board of Directors is responsible for the matters stated in Section 134(5) of the Companies Act,2013 ("the Act") with respect to the preparation of these financial statements that give a true and fair view of thefinancial position, financial performance and cash flows of the Company in accordance with the accountingprinciples generally accepted in India, including the accounting Standards specified under section 133 of the Act.This responsibility also includes maintenance of adequate accounting records in accordance with the provisions ofthe Act for safeguarding of the assets of the company and for preventing and detecting frauds and otherirregularities; selection and application of appropriate implementation and maintenance of accounting policies;making judgments and estimates that are reasonable and prudent; and design, implementation and maintenanceof adequate internal financial controls, that were operating effectively for ensuring the accuracy and completenessof the accounting records, relevant to the preparation and presentation of the financial statement that give a trueand fair view and are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, management is responsible for assessing the Company's ability to continueas a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis ofaccounting unless management either intends to liquidate the Company or to cease operations, or has no realisticalternative but to do so. Those Board of Directors are also responsible for overseeing the company's financialreporting process.
Auditor's Responsibility for the Audit of the Financial Statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are freefrom material misstatement, whether due to fraud or error, and to issue an auditor's report that includes ouropinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted inaccordance with SAs will always detect a material misstatement when it exists. Misstatements can arise fromfraud or error and are considered material if, individually or in the aggregate, they could reasonably be expectedto influence the economic decisions of users taken on the basis of these financial statements.
As part of an audit in accordance with SAs, we exercise professional judgment and maintain professionalskepticism throughout the audit. We also:
1. ldentify and assess the risks of material misstatement of the financial statements, whether due to fraudor error, design and perform audit procedures responsive to those risks, and obtain audit evidence thatis sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a materialmisstatement resulting from fraud is higher than for on resulting from error, as fraud may involvecollusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
2. Obtain an understanding of internal control relevant to the audit in order to design audit proceduresthat are appropriate in the circumstances. Under Section 143(3)(i) of the Companies Act, 2013, we arealso responsible for expressing our opinion on whether the company has adequate internal financialcontrols system in place and the operating effectiveness of such controls.
3. Evaluate the appropriateness of accounting policies used and the reasonableness of accountingestimates and related disclosures made by management.
4. Conclude on the appropriateness of management's use of the going concern basis of accounting and,based on the audit evidence obtained, whether a material uncertainty exists related to events orconditions that may cast significant doubt on the Company's ability to continue as a going concern. Ifwe conclude that a material uncertainty exists, we are required to draw attention in our auditor'sreport to the related disclosures in the financial statements or, if such disclosures are inadequate, tomodify our opinion. Our conclusions are based on the audit evidence obtained up to the date of ourauditor's report. However, future events or conditions may cause the Company to cease to continue as
a going concern.
5. Evaluate the overall presentation, structure and content of the financial statements, including thedisclosures, and whether the financial statements represent the underlying transactions and events ina manner that achieves fair presentation.
We communicate with those charged with governance regarding, among other matters, the planned scope andtiming of the audit and significant audit findings, including any significant deficiencies in internal control that weidentify during our audit.
We also provide those charged with governance with a statement that we have complied with relevant ethicalrequirements regarding independence, and to communicate with them all relationships and other matters thatmay reasonably be thought to bear on our independence, and where applicable, related safeguards.
From the matters communicated with those charged with governance, we determine those matters that were ofmost significance in the audit of the financial statements of the current period and are therefore the key auditmatters. We describe these matters in our auditor's report unless law or regulation precludes public disclosureabout the matter or when, in extremely rare circumstances, we determine that a matter should not becommunicated in our report because the adverse consequences of doing so would reasonably be expected tooutweigh the public interest benefits of such communication.
Report on Other Legal and Regulatory Requirements
As required by the Companies (Auditor's Report) Order, 2020 ("the Order”), issued by the Central Government ofIndia in terms of sub-section (11) of Section 143 of the Companies Act, 2013, we give in "Annexure A” a statementon the matters specified in paragraphs 3 and 4 of the Order, to the extent applicable.
As required by Section 143(3) of the Act, we report that:
a. We have sought and obtained all the information and explanations which to the best of our knowledgeand belief were necessary for the purposes of our audit.
b. In our opinion, proper books of account as required by law have been kept by the Company so far as itappears from our examination of those books.
c. The Balance Sheet, the Statement of Profit and Loss including the Statement of Other ComprehensiveIncome, the Cash Flow Statement and Statement of Changes in Equity dealt with by this Report are inagreement with the books of account.
d. In our opinion, the aforesaid financial statements comply with the Accounting Standards specified underSection 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014.
e. On the basis of the written representations received from the directors as on March 31, 2025 taken onrecord by the Board of Directors, none of the directors is disqualified as on March 31, 2025 from beingappointed as a director in terms of Section 164(2) of the Act.
f. With respect to the adequacy of the internal financial controls over financial reporting of the Companyand the operating effectiveness of such controls, refer to our separate Report in "Annexure B”.
g. With respect to the other matters to be included in the Auditor's Report in accordance with therequirements of section 197(16) of the Act, as amended, in our opinion and to the best of our informationand according to the explanations given to us, the remuneration paid by the Company to its directorsduring the year is in accordance with the provisions of section 197 of the Act.
h. With respect to the other matters to be included in the Auditor's Report in accordance with Rule 11 of theCompanies (Audit and Auditors) Rules, 2014, in our opinion and to the best of our information andaccording to the explanations given to us:
• The Company has disclosed the impact of pending litigations on its financial position in itsfinancial statements. Refer Note 28 to the financial statements.
• The Company did not have any long-term contracts including derivative contracts for whichthere were any material foreseeable losses.
• There has been no delay in transferring amounts, required to be transferred, to the Investor
Education and Protection Fund by the Company.
1. The Management has represented that, to the best of its knowledge and belief, no funds(which are material either individually or in the aggregate) have been advanced or loaned orinvested (either from borrowed funds or share premium or any other sources or kind offunds) by the Company to or in any other person or entity, including foreign entity("Intermediaries"), with the understanding, whether recorded in writing or otherwise, thatthe Intermediary shall, whether, directly or indirectly lend or invest in other persons orentities identified in any manner whatsoever by or on behalf of the Company ("UltimateBeneficiaries") or provide any guarantee, security or the like on behalf of the UltimateBeneficiaries;
2. The Management has represented, that, to the best of its knowledge and belief, no funds(which are material either individually or in the aggregate) have been received by theCompany from any person or entity, including foreign entity ("Funding Parties"), with theunderstanding, whether recorded in writing or otherwise, that the Company shall, whether,directly or indirectly, lend or invest in other persons or entities identified in any mannerwhatsoever by or on behalf of the Funding Party ("Ultimate Beneficiaries") or provide anyguarantee, security or the like on behalf of the Ultimate Beneficiaries;
3. Based on the audit procedures that have been considered reasonable and appropriate in thecircumstances, nothing has come to our notice that has caused us to believe that therepresentations under sub-clause (i) and (ii) of Rule 11(e), as provided under (1) and (2)above, contain any material misstatement.
• The Company has not paid any dividends during the year and hence, the provisions of Section 123of the Act are not applicable to the Company.
• The reporting under Rule 1L(9) of the Companies (Audit and Auditors) Rules,2014is applicablefrom l April 2023.
Based on our examination which included test checks, the Company has used an accounting softwarefor maintaining its books of account which does not have a feature of recording audit trail (edit log)facility for all relevant transactions recorded in the software.
